The Website is owned and operated by Kamedis, Inc. (“Kamedis,” “we,” “us,” or “our”).

By accessing the Website, creating an account, placing an order, submitting content, or otherwise using the Website, you agree to be bound by these Terms, our Privacy Policy, Return & Refund Policy, Shipping Policy, and any other policies or terms referenced on the Website or presented at checkout. If you do not agree, do not use the Website or place an order.

1. Eligibility; Electronic Signature and Notices

You must be at least 18 years old, or the age of majority in your state of residence, to use the Website, create an account, or place an order. By using the Website, you represent that you have the legal capacity and authority to enter into these Terms.

By agreeing to these Terms, you also consent to the use of email (“Electronic Record”) to send you legally required notices. You may withdraw your consent to use an Electronic Record by notifying us at support@kamedisus.zendesk.com and indicating your withdrawal of consent, your full name, and postal address. To access and retain a copy of this disclosure or the Electronic Record in which we send you any legally required notices, you will need (i) a computer with a web browser and Internet access and (ii) either a printer or storage space on such device. To request a paper copy of this disclosure or the Electronic Record in which we send you any legally required notices, contact us at support@kamedisus.zendesk.com and indicate your request, your full name, and postal address. We will charge you the cost of first-class mail for each paper copy you request. To update the contact details we use to contact you electronically, contact us at support@kamedisus.zendesk.com and indicate your full name, your old email address, and your new email address.

2. Permitted Website Use

You may use the Website only for lawful, personal, and non-commercial shopping and informational purposes, and only in accordance with these Terms.

You may not:

·  Use the Website in violation of applicable law or regulation;

·  Interfere with the operation, integrity, or security of the Website;

·  Attempt to gain unauthorized access to any account, system, or part of the Website;

·  Upload or transmit viruses, malware, harmful code, or disruptive technology;

·  Copy, scrape, reproduce, distribute, sell, or commercially exploit Website content without our prior written permission;

·  Use the Website to infringe the rights of Kamedis or any third party;

·  Use false, misleading, incomplete, or deceptive information in connection with an account or order;

·  Circumvent or attempt to circumvent purchase limits, fraud controls, account restrictions, or other Website safeguards; or

·  Place orders for resale, redistribution, export, commercial supply, marketplace fulfillment, or other commercial purposes unless expressly authorized by Kamedis in writing.

We may suspend, restrict, or terminate access to the Website or an account if we reasonably believe these Terms or applicable law have been violated.

3. Product Information

We make reasonable efforts to display and describe our products accurately. However, product descriptions, images, ingredients, packaging, pricing, availability, promotions, and other Website content may occasionally be incomplete, inaccurate, outdated, or affected by typographical or technical errors.

Product packaging, labels, ingredients, claims, size, and appearance may vary from the images or descriptions shown on the Website. Always read the product label, ingredient list, warnings, and directions before use. If a product you receive is materially different from the Website description, contact us in accordance with our Return Policy.

4. No Medical Advice

The information on the Website is provided for general informational and educational purposes only. Kamedis products and Website content are not intended to diagnose, treat, cure, or prevent any disease, except where expressly stated and permitted by applicable law.

The Website does not provide medical advice, diagnosis, or treatment. Consult a physician, dermatologist, pharmacist, or other qualified healthcare professional if you have a medical condition, persistent symptoms, allergies, sensitivities, are pregnant or nursing, use medication, or have questions about whether a product is appropriate for you. If you experience irritation, discomfort, an allergic reaction, or another unexpected response, discontinue use and seek medical advice.

5. Orders and Acceptance

Submitting an order is an offer to purchase the selected products. We may accept, reject, limit, hold for review, or cancel an order before shipment for legitimate business reasons, including suspected fraud, unauthorized resale, attempts to circumvent purchase limits, product unavailability, pricing or promotional errors, payment issues, inaccurate information, or a violation of these Terms.

We may request additional information or verification before processing an order.

Once an order has been completed, and authorization and a form of payment have been received, we will promptly locate the ordered item(s) and prepare them for shipment. All items are subject to availability. We will promptly inform you if the product you have ordered is not available and we may offer you an alternative product of approximately equal quality and value.

6. Purchase Limits and Related Orders

Unless a different limit is clearly stated on a product page, promotion, or at checkout, purchases are limited to a maximum of five (5) units of the same product per order and a maximum of five (5) units of the same product per customer or household during any rolling 30-day period.

Purchase limits apply in the aggregate and may not be avoided by placing multiple orders, using multiple accounts, email addresses, names, payment methods, shipping or billing addresses, devices, or other variations. We may consider orders to be related when, based on information reasonably available to us, they appear to have been placed by or for the same person, household, organization, reseller, or coordinated group.

If we reasonably believe that an order or group of related orders exceeds a purchase limit or is intended to circumvent a purchase limit, we may, before shipment:

·  Limit the quantity fulfilled;

·  Place the order on hold while we request verification;

·  Cancel one or more related orders;

·  Restrict or close associated accounts; and/or

·  Refuse future orders, to the extent permitted by applicable law.

If we cancel all or part of an order after payment has been authorized or collected, we will issue a refund for the canceled products and any associated charges that must be refunded, to the original payment method. Financial institutions and payment providers may require additional processing time before the refund appears in your account.

Purchase limits are intended to support fair product availability, protect consumers, reduce fraud and abuse, and prevent unauthorized resale. They do not create a guarantee of product availability or acceptance of any order.[PC1] 

7. Personal Use; Unauthorized Resale Prohibited

Products purchased through the Website are offered for personal or household use by the purchasing consumer. They may not be purchased for resale, redistribution, export, commercial supply, marketplace fulfillment, or sale through Amazon, Walmart Marketplace, eBay, TikTok Shop, social media, independent websites, retail stores, or any other third-party platform or channel without Kamedis’s prior written authorization.

You may not represent yourself as an authorized Kamedis reseller, distributor, retailer, agent, or representative unless we have expressly authorized you in a separate written agreement.

We reserve the right to refuse, limit, hold, or cancel orders that we reasonably believe are intended for unauthorized resale or other commercial activity. Indicators may include unusually large or repetitive purchases, multiple related orders, use of multiple identities or accounts, shipment to freight forwarders or commercial locations, purchasing patterns inconsistent with ordinary personal use, or other information reasonably suggesting resale or circumvention.

This section is a contractual condition of purchasing through the Website. It does not expand Kamedis’s rights beyond those available under applicable law, and nothing in these Terms is intended to restrict any non-waivable consumer right.

8. Prices, Promotions, and Taxes

All prices are listed in U.S. dollars unless otherwise stated. Prices, availability, promotions, discounts, and offers may change without notice. The price charged will be the price displayed at checkout when the order is submitted, subject to correction of errors.

We may correct pricing, typographical, promotional, or other errors, including after an order has been submitted. If we cancel an order because of an error, we will refund any amount charged for the cancelled portion. Prices exclude applicable taxes, shipping, handling, duties, customs fees, and other charges unless expressly stated. Promotions and discount codes may be subject to separate terms, exclusions, quantity limits, expiration dates, and availability.

We will collect and remit sales tax on taxable orders shipped to, or delivered in, jurisdictions where we are required to do so. Applicable tax is calculated based on the shipping or delivery address and the tax rules in effect at the time your order is placed, and the tax amount will be shown before you complete your purchase. Because tax rates and rules vary by jurisdiction and change over time, the tax calculated at checkout may differ from estimates shown elsewhere on the Site. You are responsible for all taxes associated with your purchase other than taxes based on our net income.

9. Payment

You agree to provide current, complete, and accurate billing and payment information. By submitting payment information, you represent that you are authorized to use the selected payment method and authorize us and our payment processors to charge the total amount of your order, including products, taxes, shipping, and applicable fees. Payment processing may be subject to the terms and privacy practices of third-party processors.

10. Shipping and Delivery

You are responsible for providing a complete and accurate shipping address. We are not responsible for delays, loss, or undeliverable shipments caused by incorrect or incomplete information you provide. Risk of loss and title pass upon delivery to the designated shipping address, except where applicable law provides otherwise. We currently ship to addresses in the United States only, unless otherwise stated on the Website. 11. Returns and Refunds

Returns, refunds, exchanges, damaged items, defective items, incorrect items, and non-returnable products are governed by our Return  Policy www.kamedis.com Review that policy before ordering. For hygiene and safety reasons, opened or used dermo-cosmetic products may be ineligible for return unless defective, damaged, incorrect, or otherwise required to be accepted by applicable law.

12. Accounts

You may create an account. You are responsible for safeguarding login credentials and for activity under your account. You agree to provide accurate and current account information and to notify us promptly if you suspect unauthorized access.

We may suspend, restrict, or terminate accounts if we reasonably believe there has been fraud, misuse, unauthorized resale, circumvention of purchase limits, violation of these Terms, or other improper activity, subject to applicable law.

13. Reviews, Testimonials, and User Content

You may submit reviews, testimonials, photos, videos, comments, feedback, survey responses, social media content, or other material (“User Content”). By submitting User Content, you represent and warrant that you are at least 18 years old; the content reflects your honest opinions and actual experience; you own or have the necessary rights to submit it; and it is not false, misleading, defamatory, obscene, abusive, unlawful, infringing, or an unauthorized disclosure of another person’s private information.

By submitting User Content, you grant Kamedis a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, edit, adapt, publish, translate, distribute, display, and create derivative works from that User Content, including your name, likeness, image, voice, social media handle, testimonial, review, photo, or video, for marketing, advertising, promotional, ecommerce, social media, and other business purposes, in any media, to the extent permitted by law.

We may, but are not required to, monitor, edit, remove, or decline to publish User Content. We will not condition compensation or incentives on a review expressing a particular positive or negative sentiment. If you receive a free product, gift, discount, payment, reward, or other benefit in connection with a review, testimonial, post, or other content, you must make any disclosure required by law or platform rules. Endorsements must be honest and not misleading. We may require a separate written authorization for before-and-after images, paid testimonials, influencer campaigns, or similar uses.

Without limiting the foregoing, you may not post User Content which:

• May infringe rights of others, including a person's right to privacy or right of publicity, patents, copyrights, trade secrets and trademarks;
• Is copied from other users of the Website without obtaining their prior written consent;
• May include outdated, false, or fabricated information about products, including false user experiences concerning products and any content about products that does not originate from users that have previously purchased the products in good faith (e.g., fake reviews);
• May depict or identify minors, their personal details, their address or ways to contact them, without the explicit consent of their legal guardians, as well as the approval of such minors, when practically possible;
• May include software viruses, spyware or any other malicious applications;
• May encourage, support, assist, or advise in the commission of a criminal offense or carry an elevated risk of psychological or physiological stress or injury or damage to property;
• May, through posting, publication, dissemination, or making available to the public, be prohibited by any applicable law, including court orders;
• May be threatening, abusive, harassing, defamatory, libelous, vulgar, violent, obscene or racially, ethnically or otherwise objectionable;
• Is overtly sexual material;
• Contains inflammatory religious commentary or inaccurate or misleading quotations of religious texts;
• Is a realistic portrayal of people or animals being killed, maimed, tortured, or abused, or content that encourages violence;
• Includes depictions that encourage illegal or reckless use of weapons and dangerous objects, or facilitate the purchase of firearms;
• May include unsolicited commercial communications ('spam'), chain letters, or pyramid schemes.
• May mislead consumers to believe that the sponsored reviews are not sponsored;
• Is not compatible with the applicable rules for reviewers, including but not limited to the rules on clear and conspicuous disclosure of material connections and minor regulations, or any applicable regulations and standards of conduct, such as the Federal Trade Commission's Guides Concerning Endorsements and Testimonials.

 

14. Intellectual Property

The Website and all Website content, including text, images, graphics, logos, product names, trademarks, trade dress, videos, designs, icons, software, and other materials, are owned by or licensed to Kamedis and protected by intellectual property laws. You may not copy, reproduce, modify, distribute, display, sell, license, or exploit Website content without our prior written permission. All rights not expressly granted are reserved.

15. Trademarks

“Kamedis,” “BOTANIPLEX,” and related names, logos, slogans, product names, and marks are trademarks or registered trademarks of Kamedis or its affiliates. You may not use any Kamedis trademark, logo, product name, or brand asset without our prior written permission. Nothing in these Terms grants you any license or right to use Kamedis intellectual property.

16. Third-Party Links and Services

The Website may link to third-party websites, platforms, tools, payment providers, social media pages, or services that we do not own or control. Links are provided for convenience only. We are not responsible for third-party content, policies, products, services, or practices. Your use of third-party websites and services is governed by their terms and privacy policies.

17. Marketing Communications

You may separately choose to receive marketing emails or SMS messages. Marketing emails will include an unsubscribe method, and SMS marketing will be sent only where appropriate consent has been obtained. Message and data rates may apply. You may opt out of SMS marketing using the instructions provided, such as replying “STOP.” Consent to marketing is not required to purchase products. We may still send transactional and service-related communications.

18. Telephone Call Recording

Customer service calls may be monitored or recorded for quality assurance, training, security, and business purposes where permitted by law. We will provide notice before recording when required.

19. Subscriptions and Auto-Renewals[PC2] 

We offer a Subscribe & Save program for certain products. By enrolling, you authorize Kamedis and its payment processors to automatically place recurring orders and charge the payment method you provide at the frequency you select, until you cancel the subscription. The products included, quantity, delivery frequency, recurring price or discount, shipping charges, applicable taxes, and any other material terms will be disclosed clearly before you enroll.

Subscription prices and discounts may differ from one-time purchase prices and may be subject to product-specific terms. Unless expressly stated at enrollment, there is no minimum number of recurring orders and no cancellation fee. Any discount applies only while the subscription remains active and while the applicable product and promotion remain eligible. Taxes and shipping charges, if any, will be calculated for each recurring order under the terms presented at enrollment or checkout.

Each recurring order will be processed using the payment method associated with your subscription. You authorize us to charge that payment method for the amount disclosed for the applicable recurring order. If a payment cannot be completed, we or our subscription provider may retry the charge, request an updated payment method, delay or skip the shipment, or suspend or cancel the subscription. You are responsible for keeping your account, shipping, billing, and payment information current.

You may cancel your subscription at any time before the applicable order processing or billing cutoff by using the cancellation method made available through your online account or subscription management page, or by contacting Customer Support. When available, you may also change the delivery frequency, quantity, product selection, payment method, shipping address, or next shipment date, or skip an upcoming delivery. Changes or cancellations submitted after an order has begun processing may apply only to future orders. Canceling a subscription does not cancel an order that has already been processed or shipped.

Subscriptions continue until canceled. We will provide the enrollment acknowledgment, renewal reminders, price change notices, material change notices, and cancellation methods required by applicable law. If we materially change the recurring price, discount, billing frequency, or other subscription terms, we will provide advance notice and any opportunity to cancel required by law before the change takes effect. We will not make a material change retroactive to an order already processed.

Subscription orders are subject to product availability, these Terms, our Return Policy, our Shipping Policy, and any additional subscription terms presented at enrollment or in the subscription management interface. We may discontinue a product, modify or end the Subscribe & Save program, or cancel a subscription for legitimate business reasons, including product unavailability, payment failure, suspected fraud, unauthorized resale, abuse of discounts, or violation of these Terms. If a recurring order is cancelled after payment has been collected, we will refund the canceled amount to the original payment method as required by applicable law.

Purchase limits described in Section 6 generally apply to subscription orders unless a different limit is clearly disclosed. An active subscription that complies with its disclosed quantity and delivery frequency will not, by itself, be treated as an attempt to circumvent a purchase limit.

20. Disclaimer of Warranties

THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, KAMEDIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE WEBSITE WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

21. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KAMEDIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE WEBSITE, PRODUCTS, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR A CLAIM ARISING OUT OF OR RELATED TO THE WEBSITE, PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

22. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Kamedis and its officers, directors, employees, agents, affiliates, service providers, suppliers, and licensors from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your misuse of the Website; violation of these Terms or applicable law; User Content; infringement of another person’s rights; unauthorized resale or commercial activity; or submission of information you do not have the right to provide.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State ofNew York, without regard to conflict-of-law principles.

Any dispute arising out of or related to these Terms, the Website, or a purchase will be resolved in the state or federal courts located in New York Country, New York and the federal district court for the Southern District of New York. You and Kamedis consent to the personal jurisdiction and venue of those courts.

24. Changes to These Terms

We may update these Terms from time to time by posting the revised version and changing the “Last Updated” date. Your continued use of the Website after revised Terms are posted constitutes acceptance to the extent permitted by law. Material changes will not apply retroactively to completed purchases.

25. Assignment

We may assign, transfer, or delegate our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, corporate restructuring, operation of law, or other business transaction. You may not assign or transfer your rights or obligations without our prior written consent.

26. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect, and the affected provision will be enforced to the maximum extent permitted by law.

27. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

28. Entire Agreement

These Terms, together with our Privacy Policy, Return Policy, Shipping Policy, and any additional terms presented at checkout or for a specific promotion, constitute the entire agreement between you and Kamedis regarding your use of the Website and purchase of products.
